Oana is an experienced business lawyer, mainly advising on corporate and commercial, mergers and acquisitions and audiovisual law. She has valuable expertise in telecommunications and public procurement, assisting on major projects in the IT&C area. Her practice also covers privatizations, intellectual property, media and entertainment, data protection, competition, as well as consumer protection.
Oana has gained valuable know-how in her positions with a high-profile international firm, CMS Cameron McKenna, and as a coordinating in-house lawyer with one of the leading telecommunications companies.
Relevant projects
Oana Vultur has regularly advised on M&A transactions and on day-to-day operations of clients in major industries, such as IT&C, consumer & retail business, media & entertainment, banking & finance.
As a member and coordinator of the legal teams, she assisted clients in due diligence projects, in the negotiation of the relevant M&A documents and post-transaction operational issues.
Among the major projects she was involved, we mention the following:
1. Advising a multinational IT equipment manufacturer regarding the sale of its worldwide PC manufacturing division, on the restructuring of its CEE group of companies and other related matters.
2. Advising an international IT and telecommunications company in connection with various operational matters, including the building and licensing of its own network.
3. Offering legal support for the largest fixed-line telecom company in Romania in connection with successfully launching its TV retransmission business and TV sport channels in Romania, including the negotiation and conclusion of the related media rights agreements, obtaining licenses and authorizations from relevant public authorities, acquisition of network and access equipment, creating a standard contract to be concluded with the customers.
4. Advising the buyer and offering legal support in all the steps taken for the acquisition of two companies operating in the direct-to-home TV retransmission market, from due-diligence over their legal and commercial status, to drafting and supervising the sale-purchase documentation, to managing the relation with the newly acquired clients.
5. Legal, strategy and public relations assistance provided to one of the largest investors and real estate developers in Romania and EEC regarding the follow-up of the legislative circuit and the steps taken to challenge the legislative proposal to amend the Law on Chambers of Commerce, with main effect on free acquisition of land belonging to the Romexpo exhibition pavilions by a private law entity.
6. Full legal assistance provided for companies listed on the Bucharest Stock Exchange, including share capital increase operations.
7. As an in-house lawyer, successfully managing the media crises in the audiovisual area, mainly occurred in relation with the TV channels, together with the commercial and PR functions.
Education:
Oana graduated the Law Faculty of the Bucharest University in 1998. Over time she attended courses, conferences, seminars, trainings in various fields such as civil law, corporate and commercial law, mergers and acquisitions, media and audiovisual law, personal development and leadership.
Oana is a member of the Bucharest Bar since February 1999.
